Role Requirements 

  • Be of Aboriginal and/or Torres Strait Islander descent
  • Have a Director Identification Number (DIN)
  • Relevant experience in board governance
  • Meet the baseline Director skills AND provide new skills/networks that complement other board members (skills matrix)

Individual Responsibilities

  • know the organisation’s purpose, strategies, policies, programs, and needs
  • faithfully read and understand the organisation’s financial statements
  • serve as active advocates and ambassadors for the organisation in both the communities we serve and in your professional community
  • fully engage in identifying and securing the financial resources and partnerships necessary for the organisation to advance its mission
  • leverage connections, networks, and resources to develop collective action to achieve the organisation’s mission
  • help identify personal connections that can benefit the organisation’s fundraising and reputational standing, and can influence public policy
  • prepare for, attend, and conscientiously participate in board meetings
  • participate fully in one or more committees if required
  • follow the organisation’s policies and board resolutions
  • understand fully and participate in consensus decision-making
  • sign an annual conflict-of-interest disclosure and update it during the year if necessary, as well as disclose potential conflicts before meetings and actual conflicts during meetings
  • maintain confidentiality about all internal matters of the organisation
  • participate in rotating co-chairperson duties
  • participate in board and other recruitment when needed
  • induction of new board directors under the direction of the chairperson/s
  • co-creation and delivery/co-delivery of speaking engagements
  • attendance at relevant conferences/ networking events
  • contribute to social media on preferred platform/s by liking and sharing posts

 

Responsibilities of the Board

  • Understanding and participating in consensus decision-making
  • determining the mission, purposes and strategies of the organisation
  • selecting and evaluating the performance of the chief executive
  • strategic and organisational planning
  • approving changes to staff remuneration
  • ensuring strong fiduciary oversight and financial management
  • fundraising and resource development
  • approving and monitoring the organisation’s programs and services
  • enhancing the organisation’s public image
  • assessing its performance as the governing body of the organisation, annually
  • participating in professional development opportunities to maintain and or build capability
  • community building, being present/visible and active in the community, at events and with stakeholders

Remuneration

  • All board members are voluntary
  • Travel costs will be reimbursed upon provision of tax invoices for travel, and accommodation
