Mirning Green Energy Limited (MGEL) was established in January 2021 as a public company limited by guarantee for the purpose of managing the WA Mirning People’s shareholding in a large scale renewable energy project.

WA Mirning People Aboriginal Corporation RNTBC (WAMPAC), the prescribed body corporate for the WA Mirning People, is the sole member of MGEL.  MGEL needs to work closely and collaboratively with WAMPAC as its parent entity, through a group charter.

  • The Board of MGEL is to comprise a mix of Directors who are: 
  • current Directors of WAMPAC;current Members of WAMPAC; and
  • Independent of WAMPAC and MGEL.

MGEL is seeking nominations for an Independent director of MGEL. 

About the position

Expressions of interest are invited from suitably qualified persons motivated to contribute and participate in the governance, leadership and oversight of MGEL. Directors will be required to, amongst other things:

  • attend and participate in Board meetings; 
  • approve the financial budget and oversee the management of MGEL’s finances;
  • determine MGEL’s risk profile and assess risk management;
  • promote and uphold principles of good governance; and
  • promote effective and efficient lines of communication – particularly with MTLAC.

Eligibility Criteria 

To be eligible for appointment as a Director of MGEL, a person must have demonstrated experience and expertise in some or all of the following areas:

  • corporate governance
  • communication
  • strategic planning and implementation
  • business
  • such other areas of expertise or skill as identified by MGEL as beneficial

A person is not eligible for appointment if they are disqualified from being a director under the Corporations Act 2001 (Cth) or has been disqualified from being a responsible entity by the ACNC Commissioner under the Australian Charities and Not-for-profits Commission Act 2012 (Cth).

Skills and Experience 

Other desirable qualities include:

  • understanding of Aboriginal community life, needs and cultural principles
  • completion of the AICD Company Directors course or equivalent
  • tertiary qualifications
  • strong commercial skills 
  • good independent judgement and strategic vision
  • proven leadership, mentoring and communication skills
  • success in relationship development
  • prior experience with Aboriginal communities and/or organisations
  • high ethical standards
  • undertaken cross-cultural training
