At AusCam Freedom Project, we’re seeking a voluntary Company Secretary to support our ongoing governance-related legal and compliance obligations. You’ll be a key officer of our company, responsible for ensuring that our organization fulfills its corporate governance obligations and complies with all relevant legal and regulatory requirements in Australia.
You’ll provide high-level, independent governance advice and administrative support to the Board of Directors, liaising directly with the Australian based Chair, the nonprofit’s Founder and Director, and the Cambodian based Country Director. As an officer of the company, you’ll have duties and responsibilities like those of a director under the Corporations Act 2001 (Cth) and the Australian Charities and Not-for-profits Commission Act 2012 (Cth) (ACNC Act).
This role would suit someone with Australian nonprofit sector exposure, connection with Southeast Asia, strong administration and compliance skills and understanding, a tertiary law or business qualification, and a passion for youth social justice. All meetings are online and you’ll work with a small Australian remote volunteer board and the collaborative, qualified, and professional team in Cambodia.
About The Organisation
With a vision “For all girls everywhere, to be free from trafficking and exploitation”, we’re an innovative niche Australian charity delivering crisis support and prevention to vulnerable Cambodian girls and information to their networks. Our two organization areas of protection and prevention incorporate initiatives such as our 24/7 Freedom Line and its virtual assistant Neary which means ‘Miss’ in Khmer, Girls Leadership Council, and the Safe Sisterhood. Since our 2012 launch, we’ve helped 4,000+ vulnerable girls, supported 1,500+ girls with educational scholarships, and impacted ~50,000 girls through empowerment clubs, life skills training, counselling, and our Sisterhood activities, as well as raising $4+M and winning key industry recognition for our Freedom Line and Sophea’s Dream film.
About the Role
Governance and Legal Compliance
- Advise the Board and Executive on their duties and responsibilities under the Corporations Act, the ACNC Act, and other relevant legislation
- Ensure that AusCam Freedom Project's operations and decisions comply with its Constitution, relevant legislation, and the ACNC Governance Standards
- Maintain all statutory registers and corporate records
- Manage the timely and accurate lodgement of all required forms and reports with the Australian Securities and Investments Commission (ASIC) and the ACNC, including the Annual Information Statement (in consultation with the Chair and Founder)
- Act as the primary point of contact for ASIC and the ACNC
Board and Meeting Administration
- In consultation with the Chair, prepare and distribute agendas, board papers, and minutes for all Board meetings and the AGM in a timely manner
- Attend and take minutes of Board meetings and the AGM
- Manage the Board's meeting cycle, ensuring all necessary governance matters are included on agendas
- Ensure that all Board decisions are accurately recorded and action items are tracked and followed up
- Oversee the Board's performance review processes and support Director recruitment
- Facilitate the induction of new directors and assist the Board with their ongoing professional development in corporate governance
Corporate Administration and Communications
- Manage formal correspondence on behalf of the Board and Chair
- Oversee the organization's corporate policies and procedures, ensuring they’re regularly reviewed and updated
- Provide advice on conflicts of interest and maintain a register of declarations
- Serve as a trusted advisor to the Board and the Chair on governance-related matters
Time Commitment
- Attendance at ~10 virtual Board meetings per year (typically Tuesdays 6-8pm AEDT)
- Preparation time for Board meetings and post meeting actions (minutes, register etc)
Appointment and Term
The Board is seeking a minimum 18-month commitment.
Selection Criteria
- An understanding of legal, governance and fiduciary duties associated with being a Company Secretary of a nonprofit
- A strong commitment to the vision and mission of AusCam Freedom Project and preferably a connection to Southeast Asia
- High level of integrity, discretion, and the ability to maintain confidentiality
- Strong written and verbal communication skills
Ideally, you have demonstrated experience from being a Company Secretary or from a similar role and are also a graduate of a relevant governance course.
