What We DoThe Children's Tumour Foundation (CTF) is the national patient advocacy and support organisation for people living with neurofibromatosis (NF) in Australia. NF refers to a group of complex genetic conditions that cause tumours to form on nerves, under the skin and deep in the body, including in the brain and spine. The primary objective of the organisation is to support, educate and connect the 13,000 people in Australia who are living with NF. The CTF creates awareness, advocates for better health outcomes and encourages funding into promising research with the hope of finding more effective treatment options.Role & ResponsibilitiesThe purpose of this role is to support the governance framework of CTF by assisting the Board to meet its governance obligations under the Australian Charities and Not for Profits Commission (ACNC) Act and other applicable legislation such as ASIC, Fair Trading, etc.Responsibilities include:
- Work with board chair in setting meeting agenda, meeting dates, draft board minutes and actions list, board papers circulation and action items update prior to next board meeting.
- Work with ARC chair in setting meeting agenda, meeting dates, draft committee minutes and action list, committee papers circulation and action items update prior to next committee meeting.
- Ensure all statutory compliance (eg Annual responsible persons declaration and director bankruptcy register checks) and lodgements (ASIC, ACNC, NSW Fair Trading, etc) are undertaken in timely manner and by the due date every year.
- In conjunction with CEO ensure all strategy records are kept in a digital form that is easily accessible by the Com Sec and CEO.
- Maintain director register of interest and update as required.
- In conjunction with CEO ensure register of members is maintained and updated every year.
- Liaise with our external legal firm on any updates required to the company constitution every 2 years or if required by legislation.
- Organisation of general meetings of the members, including the Annual General meeting involving sending of notices, etc when required.
- Annual review of Board policies and procedures eg Board Delegation of Authority, Board Charter, Code of Conduct, etc.
Time commitments
We anticipate that this role will involve a commitment of attendance at:
- 5 scheduled meetings of Directors,
- 5 scheduled meetings of The Audit and Risk Committee,
- Occasional circulating resolutions of directors if needed.
Qualifications and Experience
We are seeking a company secretary with:
- qualifications in governance, business, law, or other a relevant discipline,
- experience in related roles such as company secretary, board roles, audit and compliance, risk assessment, governance,
- understanding of the regulatory framework and governance standards,
- an interest in the NFP sector and time to fulfill the duties of the role.
Location
Children’s Tumour Foundation is a Sydney based organisation with a national operation. However, the Company Secretary does not need to reside in Sydney. Candidates from around Australia are welcome to apply. This is a voluntary role with all meetings held virtually.
