The Volunteer Company Secretary supports MLI’s governance integrity, compliance,and operational transparency. This role works closely with the Board and CEO to ensure MLI meets its statutory andreporting obligations under the Corporations Act and ACNC standards, while embedding governance practices that reflect MLI’s collaborativeand values-driven culture.

KEY RESPONSIBILITIES

  • Provide strategic and governance oversight in alignment with MLI’s constitution and purpose.
  • Governance & Compliance: Maintain statutory registers, filings, and governance documentation to ensure MLI meets its obligations under the Corporations Act and ACNC requirements.
  • Board Administration: Prepare and circulate Board agendas, minutes, and resolutions accurately and on time to support efficient Board operations.
  • Advisory Support: Provide governance and compliance advice to the Chair,CEO, and Board, ensuring decisions align with MLI’s constitution, policies,and values.
  • Member Induction & Development:Support the induction of new Boardmembers and contribute to the ongoing development of governance capability across the Board.
  • Audit & Reporting: Liaise with auditors,assist with financial reporting, and coordinate the preparation and lodgement of annual returns.
  • Governance Practices: Embed transparent, ethical, and culturally inclusive governance processes that reflect MLI’s collaborative and values driven culture.

  • Legal, governance, or company secretary qualifications (or equivalent experience).
  • Strong understanding of not-for-profit governance and reporting obligations.

BOARD STIPEND

This is a voluntary role. MLI may provide a small annual stipend to acknowledge thetime, care, and contribution of Board members in advancing our mission.

The Multicultural Leadership Initiative (MLI) is on a mission to grow and transform the climate movement to become more racially, culturally and linguistically diverse.

We uplift multicultural community groups and organisations who want to initiate or scale up their climate action efforts. We also support established climate organisations wanting to improve their cross-cultural competencies and build a movement that represents all of us who are concerned about climate change. We were founded in 2022 in Australia and have been rapidly scaling up since.
