POSITION DESCRIPTION - SECRETARY

Organisation: Yarra Riverkeeper Association

Position title: Honorary Board Secretary

Position category: Voluntary Board Member

Yarra Riverkeeper Association’s purpose is for the Yarra Birrarung, and its tributaries, to be healthy, protected and loved.

YRKA is a not-for-profit community organisation formed in 2004 by a group of citizens who love the Yarra, Birrarung River and care about its future.

YRKA’s specific objectives are to:

  • Be an effective, independent advocate for the Yarra, Birrarung.
  • Be a strong community voice for the River
  • Implement initiatives to protect and restore the Yarra, Birrarung.
  • Foster relationships with all river stakeholders.
  • Publicise knowledge about the Yarra, Birrarung.
  • Celebrate the ecological and social values of the Yarra, Birrarung.

YRKA is a Victorian incorporated association registered with Consumer Affairs Victoria under the Associations Incorporation Reform Act 2012.

Role

Board member

  • Serve as a Board member to support the aims of the Association (as stipulated in the YRKA Constitution) and to care about the Yarra, Birrarung River.
  • Oversight financials and governance of the Association.

Honorary Secretary

  • Work with the President to set the Board agenda.
  • Record Board decisions and actions and prepare minutes
  • Use BoardPro to streamline Board administration
  • Oversight the register of members
  • Assist organising Annual General Meeting including sending invitations and taking Minutes
  • Help prepare and lodge annual returns and reports with relevant regulators.

Skills and Experience

The successful candidate will demonstrate a mix of the following skills and experience: Essential

  • To be collegiate and work well with others in the interests of the Yarra, Birrarung.
  • Excellent communication, organisational and meeting management skills.
  • Understanding of the governance standards for Boards in the not-for-profit sector.
  • Knowledge of, or willingness to learn, the regulatory framework (Incorporated Association) of YRKA.
  • Strategic planning, critical thinking and influencing skills.
  • Capability and willingness to oversee governance requirements for the Board, including the membership database.

Preferred

  • Experience in similar roles such as company secretary, board member, audit, compliance, or governance.
  • Experience with donation platforms (preferable Raisley) and BoardPro.
  • Skills and knowledge in managing organisational memberships.

Requirements

  • The candidate would need to have capacity during the week to attend bi-monthly in-person Board meetings (currently 8.00 to 10.30 am Tuesday every second month).

At a minimum, the time commitment includes:

○ 2.5 hours of scheduled meetings bi-monthly (Board meetings).

○ 4 hours per month for documentation and record management.
