This is an exciting opportunity to join a well-established and growing charity that is the leader in its field. We are seeking a Board Director with skills and experience at an executive or board level within a growing medium or large not-for-profit.
2025 marked 20 years for Miracle Babies (www.miraclebabies.org.au).
As the organisation continues to grow, the Foundation is particularly interested in expanding the skills of its Board of Directors to fundraising and philanthropy.
The role will complement skill sets of clinical expertise, media, accounting, law and governance.
This is a voluntary position with Miracle Babies Foundation.
The Board meets four times per year and will on occasion hold further out of session meetings if needed. Various business of the Board is also conducted throughout the year via email. The average time commitment per month is in the order of four to six hours. The Foundation holds a number of events each year, and you would be asked to attend and promote some of these events. More generally, we ask that you are available for your guidance and advice as it relates to your areas of expertise.
Key responsibilities of Board Directors include:
• Monitoring and setting the strategic direction of the Foundation, including attainment of its objectives in conjunction with the executive.
• Driving the Foundation’s performance to ensure the provision of high-quality services to our Miracle families.
• Monitoring the operational and financial position and performance of the Foundation generally.
• Approving the Foundation’s budgets and business plans.
• Ensuring the principal risks faced by the organisation are identified and overseeing that appropriate control and monitoring systems are in place to manage the impact of these risks.
• Overseeing and evaluating the performance of the CEO.
• Ensuring the Foundation acts in a lawful and ethical manner, and in accordance with its Constitution.
• Promoting the Foundation and leveraging your expertise and networks to help achieve its purpose.

Selection Criteria
As noted above, the Board is seeking someone with particular expertise within a medium or large not for profit that has experienced significant growth, to assist in governing the Foundation through its current growth phase.
• Experience in the management or governance of a medium or large not for profit organisation, with a particular focus on fundraising and philanthropy efforts.
• A relevant qualification, such as a being a Graduate of the Australian Institute of Company Directors, would be desirable, but is not required.
• The ability to effectively engage as a Board Director and fulfil your director's duties through your strong strategic thinking, analytical and problem-solving skills.
• Well-developed communication and influencing skills.
• A connection with the purpose of the Foundation. Lived experience with, or as, a premature or sick newborn would be highly regarded, but is not essential.
