Company Secretary Position

About QAIHC

The Queensland Aboriginal and Islander Health Council (QAIHC) is the peak body representing the Aboriginal and Torres Strait Islander Community Controlled HealthSector in Queensland. QAIHC is committed to supporting its members and stakeholders in delivering high-quality, culturally appropriate health services toAboriginal and Torres Strait Islander peoples.

Position Overview

QAIHC is seeking Expressions of Interest (EOI) from suitably qualified and experienced professionals for the provision of Company Secretary services to QAIHC on an as required basis (estimated to be an average of seven hours per week). This role is responsible for ensuring the effective governance of QAIHC, compliance with statutory obligations, and the efficient operation of the Board and its committees.

Key Responsibilities

The Company Secretary plays an important role in supporting the effectiveness of the Board and its committees.

The role of the Company Secretary includes:

• advising the Board and its committees on governance matters;

• monitoring board and committee policies and procedures and ensuring they are followed;

• Coordinating the timely completion and despatch of board and committee papers;

• ensuring the business at board and committee meetings is accurately captured in the minutes; and

• organising and facilitating the induction and professional development of directors

The Company Secretary will be responsible for:

• ensuring they discharge their duties under s188 Corporations Act 2001 (Cth);

• managing board processes such as board and committee papers and the circulation of agendas, minutes, discussion papers, proposals for the board and its committees;

• ensuring members’ and directors’ meetings are properly called and held;

• ensuring the necessary registers are established and properly maintained and ensuring that the company’s financial records are maintained, and reports prepared in accordance with the requirements of the Act;

• ensuring records of members’ and directors’ meetings are kept in compliance with the Act and the organisation’s constitution;

• understanding and ensuring QAIHC complies with its statutory obligations,ensuring requirements of ASIC, the ACNC and other regulators are met, including continuous disclosure;

• providing or procuring advice for directors regarding application of the Act, QAIHC Constitution and other legal and regulatory requirements;

• development, implementation, communication and maintenance ofcompliance policies, processes and procedures;

• advising the Board and board committees on good practice in corporate governance;

• organising and running of annual general meetings; and

• counselling the Board on standards of ethical and corporate behaviour.

Selection Criteria

To be considered for this role, applicants must demonstrate the following:

Essential

Qualifications

• Tertiary qualifications in law, business, governance, or a related field.

• Graduate of the Governance Institute of Australia, the Australian Institute ofCompany Directors or equivalent

2. Experience

• 5+ years’ experience as a Company Secretary, preferably within the not-for-profit sector

3. Knowledge

• In depth understanding of the ACNC Governance Standards and reporting framework

• Strong understanding of corporate governance principles, statutory compliance, and regulatory reporting requirements.

Skills

• Exceptional organisational and time management skills, with the ability to manage competing priorities.

• Excellent written and verbal communication skills, including the ability to prepare high-quality board papers and reports.

• Strong interpersonal skills, with the ability to build effective relationships with Board members, senior executives and other stakeholders

5. Cultural Competence

• Demonstrated understanding of and commitment to the principles of Aboriginaland Torres Strait Islander self-determination and community control.

• Ability to work effectively and respectfully with Aboriginal and Torres Strait Islander peoples and organisations

Desirable

• Experience working within the Aboriginal Community Controlled Health sector.
