About the Organisation
Boxhead Plastic is a Berowra-based Incorporated Association ACNC registered charity with DGR status powered by 14 volunteers and four paid staff, working to divert bulk commercial plastic waste from landfill and transform it back into productive new uses. Boxhead plastics main focus is to collect, recycle and re-manufacture scrap plastic car bumper bars from local smash repair businesses.
Australia’s automotive industry generates 206,000 tonnes of plastic annually, with only 9.5% recycled. In Hornsby Shire alone, 29 smash repairers send 20.3 tonnes of plastic bumper waste to landfill each year, occupying 582m³ of landfill space. In 2025, Boxhead collected and recycled 115 tonnes of bumper waste in the Sydney basin and Central Coast, reducing landfill costs and space. Our vision is to recycle every scrap plastic car bumper bar in Australia.
At the heart of our business is a strong focus on social impacts, achieved through creating meaningful work opportunities for women exiting the justice system. This also includes women who are unemployed, helping them to increase their capacity to engage in employment. Employing women with lived experience in the justice system is a key strategy to break cycles of disadvantage, reduce recidivism, and build economic stability.
Role Purpose
The Company Secretary / Governance Secretary is a key governance leader within the organisation, responsible for ensuring strong compliance, effective Board operations, and high standards of accountability.
This role works closely with the Chair and Board Directors to support structured decision-making, maintain governance integrity, and ensure the organisation operates in accordance with its constitution and all regulatory obligations.
Key Responsibilities
Governance & Compliance
- Ensure the organisation operates in accordance with its constitution and all relevant legislation
- Maintain compliance with regulatory bodies (e.g. ACNC and relevant state authorities)
- Advise the Board on governance, legal obligations, and ethical conduct
- Support adherence to governance frameworks and best practices
- Help with the coordination of annual governance requirements ACNC reports, including AGM documentation and regulatory submissions
Board & Meeting Management
- Prepare and distribute Board meeting agendas in consultation with the Chair
- Coordinate Board and committee meetings
- Attend meetings and record accurate, timely minutes
- Ensure meetings are conducted in accordance with governance requirements
- Support effective Board workflows and documentation processes
Records & Administration
- Maintain registers of members, Directors, and committee members
- Ensure all organisational and governance records are accurate and up to date
- Maintain Board documentation and official records
- Manage document control and filing systems
Community & Organisational Contribution
- Support initiatives that deliver positive environmental and community outcomes
- Act as an ambassador for Boxhead Plastics and its mission
Board Participation
- Attend monthly Board meetings (virtual and/or in-person)
- Participate in the Annual General Meeting (AGM) and strategic planning sessions
- Actively contribute to Board discussions and decision-making
- Support additional governance or organisational activities as required
Key Selection Criteria
Essential
- Strong organisational skills and attention to detail
- Experience in minute-taking, administration, or governance support
- Experience as a Company Secretary, Board member, or governance officer
- Experience in the not-for-profit or community sector
- Clear and professional written communication skills
- Understanding of governance principles (or willingness to learn)
- High level of reliability, discretion, and professionalism
- Ability to work collaboratively with Board members and stakeholders
Desirable
- Legal, governance, compliance, or administrative background
- Familiarity with ACNC and regulatory reporting requirements
- Interest in sustainability, environmental impact, or community development
- Formal governance training (e.g. AICD or equivalent)
- Experience in sustainability, environmental, or circular economy sectors
Time Commitment
- Approximately 10 hours per month
- Attendance at monthly Board meetings
- Preparation, documentation, and governance tasks between meetings
