DUTY STATEMENT & POSITION DESCRIPTION
Position: Non-Executive Board Director (Voluntary)
Focus Area: Finance, Audit & Governance
1. POSITION PURPOSE
The Non-Executive Board Director (Finance & Governance) plays a pivotal role in overseeing the strategic, financial, and ethical governance of Vital Life Choice LTD (VLC). As a member of the governing board, the successful candidate will ensure strict compliance with the Australian Charities and Not-for-profits Commission (ACNC) Governance Standards and Australian Taxation Office (ATO) regulations, while steering VLC’s mission to combat chronic metabolic conditions through evidence-based public health education.
2. KEY DUTIES AND RESPONSIBILITIES
Financial Oversight & Compliance:
• Monitor and review VLC’s financial health, statutory reporting, and annual financial statements.
• Provide governance oversight for VLC's automated accounting framework.
• Ensure all philanthropic corporate funding, government grants, and public donations are managed in absolute alignment with ATO DGR (Deductible Gift Recipient) regulations.
• Review and approve the organizational annual budget and quarterly financial summaries presented by the Public Officer.
Governance, Strategy & Risk Management:
• Contribute actively to the formulation, review, and execution of VLC’s strategic roadmap (including our school outreach and community workshops).
• Identify, evaluate, and mitigate regulatory, operational, and financial risks associated with non-profit operations in South Australia.
• Uphold and champion the ACNC Responsible Persons duties, acting with due care, diligence, and in good faith.
3. EXPECTED TIME COMMITMENT & LOGISTICS
• Structure: This is a voluntary, non-executive governance role (unpaid).
• Board Meetings: Attendance at four (4) quarterly Board Meetings per annum (approximately 1 hour per meeting).
• Delivery: Meetings are conducted via a hybrid model (In-person in Adelaide, or digitally via Zoom/Teams to accommodate interstate board members).
• Ad-hoc Advisory: Review and vote on critical administrative resolutions via secure email channels as required (estimated 1-2 hours per quarter).
4. KEY SELECTION CRITERIA (QUALIFICATIONS & EXPERIENCE)
• Professional background in Accounting, Corporate Finance, Business Management, or Law (CPA/CA credentials or AICD membership are highly valued but not mandatory).
• Demonstrated understanding of, or a strong willingness to learn, the financial and regulatory frameworks governing Australian Not-for-Profit (NFP) entities.
• Absolute alignment with VLC’s core philosophy: advocating for evidence-based metabolic health, nutritional literacy, and systemic diabetes prevention.
• High level of professional integrity, emotional intelligence, and collaborative communication skills.
