About Good Better Best Men 

Good Better Best Men has grown from an idea into an organisation and a community of men positively impacting the lives of men, through programs, workshops, annual gatherings, men's circles, mentoring, and the development of resources for men's health, wellbeing and self-development. 

At its heart, GBBM's work is a men's journey to the heart – what we call heart work: the honest, often challenging work of men opening up, connecting with themselves and each other, and growing.  

In our first years, GBBM has been built through relationship, trust and shared intent. We are now at a point where our governance and organisational structures need to mature alongside the work. 

Where We Are Now 

Good Better Best Men Ltd is a not-for-profit public company limited by guarantee, established to be and continue as a charity. As we move beyond our first three years, we are deliberately strengthening the Board – not to make GBBM more corporate, but to steward carefully what has been created. Our intention is to establish a Board of five directors, moving from a largely founder-led period into one where responsibility is held more broadly. 

A strong Board should collectively bring: 

• continuity and understanding of the organisation, and connection with the men and the work; 

• governance, organisational, financial and practical judgement; 

• broader life and professional experience, and community knowledge and relationships; and 

• independent perspectives. 

No individual director needs to provide all of these – the strength comes from the Board collectively. 

The Role of the Board and What We Are Looking For 

The Constitution places responsibility on directors for managing and directing GBBM's activities to achieve its charitable purposes. Collectively, the Board needs to ensure GBBM remains true to its purpose, protects its culture, manages its activities and finances responsibly, understands its risks, meets its legal obligations, and remains sustainable for the future. 

Most importantly, directors need to be aligned with GBBM's purpose and willing to understand and respect what already exists before seeking to change it. We value maturity, sound judgement, relevant experience, curiosity, independence of mind, and the ability to disagree respectfully. Good governance requires challenge – but challenge that comes from a place of stewardship, not a desire to reshape GBBM into something fundamentally different. 

Responsibilities of a Director 

A director of GBBM is also a Responsible Person of a registered charity. Under the Constitution and ACNC governance requirements, directors must 

• act with reasonable care and diligence, in good faith and in GBBM's best interests 

• further its charitable purposes 

• not misuse their position or information 

• disclose actual or perceived material conflicts of interest 

• and ensure GBBM's affairs are managed responsibly and solvently 

Financial responsibility belongs to the whole Board, even where a Treasurer, accountant or staff member undertakes detailed financial work. Conflicts of interest must be recognised, disclosed and properly managed – this protects both the director and GBBM. 

What We Expect in Practice 

We are establishing Board practices to support GBBM's next stage, including: 

• regular Board meetings, with reasonable preparation beforehand 

• active participation in significant decisions and review of financial and organisational reporting 

• declaration and management of conflicts of interest, and 

• participation in the AGM and other governance requirements. 

We do not intend to create unnecessary bureaucracy – the expectation is a steady, engaged and meaningful contribution. 

Becoming a Director 

A Board-appointed director must first become a member of GBBM. The process includes applying for membership, obtaining a Director Identification Number, providing signed consent to act, confirming eligibility under the Corporations Act and ACNC Act, and formal appointment.  

A director appointed to fill a vacancy must retire at the next AGM and may then nominate for election. 

Directorship is currently unpaid, though reasonable expenses are reimbursed, and a director may be separately and appropriately paid for other work performed for GBBM. To the extent permitted by law, GBBM indemnifies its officers and may purchase director and officer insurance. Directors have a right to access GBBM's financial records at reasonable times. 

Before Saying Yes 

Anyone considering becoming a GBBM director should consider whether: 

• the purpose of Good Better Best Men genuinely matters to them 

• they are willing to share responsibility for stewarding the organisation 

• they are prepared to understand what has been built before deciding what should change 

• they can bring their own judgement while working as part of a collectively responsible Board 

• they have sufficient time and capacity to contribute reliably, and 

• they are comfortable with the legal responsibilities of a director and Responsible Person of a registered charity. 

A Conversation 

We see becoming a GBBM director begins as a conversation, not simply filling a vacancy – an opportunity for us to understand what a prospective director might bring, and for them to understand GBBM, its people, culture and aspirations.
